قانون رقم (25) لسنة 2019 بإنشاء جامعة محمد بن زايد للذكاء الاصطناعي
نحن خليفة بن زايد آل نهيان، حاكم أبوظبي.
بعد الاطلاع على القانون رقم (1) لسنة 1974 بإعادة تنظيم الجهاز الحكومي في إمارة أبو ظبي وتعديلاته.
- وعلى القانون رقم (2) لسنة 1971 في شأن المجلس الاستشاري الوطني وتعديلاته.
- وعلى القانون رقم (2) لسنة 2000 في شأن معاشات ومكافآت التقاعد المدنية لإمارة أبو ظبي وتعديلاته
- وعلى القانون رقم (9) لسنة 2018 بشأن إنشاء دائرة التعليم والمعرفة.
- وعلى القانون الاتحادي رقم (1) لسنة 1972 بشأن اختصاصات الوزارات وصلاحيات الوزراء وتعديلاته.
- وعلى المرسوم بقانون اتحادي رقم (1) لسنة 2010 في شأن إنشاء وتنظيم الهيئة الوطنية للمؤهلات.
- وبناءً على ما عُرض على المجلس، وموافقة المجلس عليه.
- أصدرنا القانون الآتي:

هذا النص وفقًا لآخر تعديل بموجب قانون رقم (10) لسنة 2024 - للاطلاع على النص الأصلي
في تطبيق أحكام هذا القانون، يكون للكلمات والعبارات التالية المعاني الموضحة قرين كل منها، ما لم يدل سياق النص على خلاف ذلك:

مادة (2)
هذا النص وفقًا لآخر تعديل بموجب قانون رقم (10) لسنة 2024 - للاطلاع على النص الأصلي
تنشأ بموجب أحكام هذا القانون جامعة تسمى" جامعة محمد بن زايد للذكاء الاصطناعي" ويكون لها شخصية اعتبارية مستقلة، وتتمتع بالأهلية القانونية الكاملة للتصرف، وتتبع المجلس.
للمجلس تغيير تبعية الجامعة لأي جهة يحددها.
مادة (3)
مقر الجامعة الرئيسي مدينة أبو ظبي، ويجوز بقرار من مجلس الأمناء بعد موافقة المجلس فتح فروع لها داخل الإمارة أو خارجها.
مادة (4)
تهدف الجامعة إلى دعم مسيرة البحث والتطوير العلمي وخلق المعرفة ونقل واستخدام الذكاء الاصطناعي، ويكون لها مباشرة الاختصاصات التالية:
- إنشاء نظام أكاديمي وبحثي متميز في مختلف مجالات علوم الحاسوب وتطبيقاتها في الذكاء الاصطناعي.
- بناء وتطوير الشراكات الأكاديمية والعلمية والبحثية مع المؤسسات العلمية والأكاديمية داخل الإمارة وخارجها، وتبادل الخبرات من أجل ضمان تنمية علمية وأكاديمية مستدامة، وذلك من خلال إبرام الاتفاقيات ومذكرات التفاهم اللازمة.
- إعداد وتمويل البحوث والتقارير المتعلقة بالذكاء الاصطناعي.
- تقديم المشورة والاستشارات في مجالات عمل وتخصصات الجامعة لأي جهة بما في ذلك الجهات المحلية أو الدولية.
- إصدار المنشورات بما في ذلك البحوث والدراسات والأوراق البحثية المتخصصة.
- عقد المؤتمرات والندوات والاجتماعات وورش العمل المحلية والإقليمية والدولية والمشاركة فيها.
- تنفيذ الاستراتيجيات المتعلقة بالأنشطة التجارية والملكية الفكرية الناشئة نتيجة أبحاث الجامعة وعمليات تعاون الجامعة مع الغير .
- أية اختصاصات أخرى تكلف بها من المجلس.
مادة (5)
- يكون للجامعة مجلس أمناء لا يقل عن خمسة أعضاء بمن فيهم رئيس مجلس الأمناء ونائبه، ويصدر بتعيينهم قرار من المجلس.
- مدة عضوية مجلس الأمناء ثلاث سنوات قابلة للتجديد.
- يصدر مجلس الأمناء النظام الداخلي الخاص به والذي يتضمن إجراءات انعقاده والنصاب القانوني لاجتماعاته والتصويت على قراراته، وكيفية اتخاذ قراراته بالتمرير في حالات الضرورة.
مادة (6)
* يتولى مجلس الأمناء الاختصاصات التالية:
- اعتماد السياسة العامة والخطط الاستراتيجية للجامعة بما يتفق مع سياسات الإمارة والدولة، ومتابعة تنفيذها.
- إقرار خطط الجامعة وتخصصاتها وبرامجها ومراجعة وتقييم مدى تطبيقها على أساس سنوي.
- الموافقة على مشروع الموازنة السنوية للجامعة، ورفعه إلى المجلس للاعتماد.
- الموافقة على الهيكل التنظيمي للجامعة، ورفعه للاعتماد وفقًا للنظم المتبعة.
- تشكيل لجان دائمة أو مؤقتة من بين أعضائه والغير، لتولي مهام أو اختصاصات معينة يحددها مجلس الأمناء.
- إصدار القواعد واللوائح اللازمة لإدارة الأنشطة والعمليات المختلفة للجامعة.
- إصدار اللوائح الداخلية للجامعة بما في ذلك اللوائح المالية والإدارية والموارد البشرية بعد موافقة المجلس.
- إقرار سياسات القبول ونظم الدراسة والتدريب والامتحانات ومتطلبات التخرج.
- منح الدرجات العلمية والشهادات وذلك وفقًا للأنظمة والتعليمات التي يصدرها في هذا الخصوص.
- اعتماد مذكرات التفاهم والاتفاقيات والشراكات الأكاديمية والعلمية والبحثية التي تبرمها الجامعة داخل الإمارة أو خارجها، وذلك في حدود الموازنة المعتمدة للجامعة ووفق التشريعات السارية.
- الموافقة على سياسات البحث العلمي وما يرتبط بها من استراتيجيات ونشاطات الجامعة التجارية.
- تأسيس صناديق الوقف من أجل تحقيق أهداف الجامعة وأغراضها بالتنسيق مع الجهات ذات العلاقة.
- تأسيس الشركات أو المساهمة فيها المرتبطة باختصاصات الجامعة.
- الموافقة على تملك وإيجار واستئجار العقارات لأعمال الجامعة وفروعها وشركاتها ومراكز البحث العلمي.
- إقرار الرسوم الجامعية والمكافآت المالية للطلبة بعد موافقة المجلس.
- مراجعة التقارير الدورية عن أداء الجامعة.
- الاقتراض وفق التشريعات السارية.
- تعيين المستشارين والخبراء وتحديد أتعابهم.
- أية اختصاصات أو مهام أخرى يُكلف بها من المجلس.
* لمجلس الأمناء تفويض بعض اختصاصاته إلى الرئيس شريطة أن يكون التفويض كتابيًا.
مادة (7)
يكون للجامعة رئيس يصدر بتعيينه قرار من المجلس بناءً على توصية مجلس الأمناء، ويتولى تسيير العمل اليومي للجامعة، ويباشر الاختصاصات التالية:
- إدارة شؤون الجامعة العلمية والمالية والإدارية وفق أحكام هذا القانون والأنظمة والقرارات الصادرة عن مجلس الأمناء.
- إصدار القرارات اللازمة لضمان حسن سير العمل في الجامعة وفقًا للتشريعات السارية.
- اقتراح مشروعات اللوائح الداخلية للجامعة ورفعها إلى مجلس الأمناء.
- إعداد الهيكل التنظيمي للجامعة ورفعه لمجلس الأمناء.
- إعداد مشروع الموازنة السنوية للجامعة ورفعه لمجلس الأمناء.
- إعداد البرامج والخطط الأكاديمية والإدارية التي تساهم في تحقيق أهداف الجامعة ورفعها إلى مجلس الأمناء ومتابعة تنفيذها.
- تعيين وإنهاء خدمات موظفي الجامعة وفقًا للوائح الداخلية للجامعة.
- تمثيل الجامعة أمام القضاء والغير.
- إعداد تقارير دورية عن أداء الجامعة ورفعها إلى مجلس الأمناء.
- أية مهام أخرى يكلف بها من مجلس الأمناء.
* للرئيس تفويض بعض اختصاصاته إلى أي من موظفي الجامعة شريطة أن يكون التفويض كتابيًا.
مادة (8)
تتكون الموارد المالية للجامعة من الآتي:
- الاعتمادات السنوية المخصصة لها من حكومة أبو ظبي.
- الرسوم الجامعية وأية رسوم أخرى تحققها الجامعة مقابل الخدمات التي تقدمها.
- عائد استثمارات أموالها المنقولة وغير المنقولة.
- الهبات والإعانات والمنح وأية إيرادات أخرى تتفق مع أهداف الجامعة ويقرها مجلس الأمناء.
- الدعم المالي المقدم من القطاع العام أو من شركات ومؤسسات القطاع الخاص وأفراد ومؤسسات تمويل البحث العلمي المختلفة والذي يخصص لتمويل أبحاث أو أنشطة معينة ويصرف حسب أوجه الصرف المخصصة له، وخارج الموازنة المعتمدة للجامعة.
- أية إيرادات أخرى يعتمدها المجلس.
مادة (9)
تبدأ السنة المالية للجامعة في أول يناير وتنتهي في آخر ديسمبر من كل عام، باستثناء السنة المالية الأولى فتبدأ من تاريخ العمل بهذا القانون وتنتهي في آخر ديسمبر من العام التالي.
مادة (10)
يكون للجامعة مدقق حسابي خارجي أو أكثر من المدققين المعتمدين لتدقيق الحسابات والبيانات المالية للجامعة، ويصدر بتعيينهم وتحديد أتعابهم قرار من مجلس الأمناء وفقًا للتشريعات السارية في الإمارة.
مادة (11)
* تسري على موظفي الجامعة نظم وسياسات الموارد البشرية الصادرة عن مجلس الأمناء.
* يسري على المواطنين منهم قانون معاشات ومكافآت التقاعد المدنية المعمول به في الإمارة.
مادة (12)
يُلغى كل نص أو حكم يُخالف أو يتعارض مع أحكام هذا القانون.
مادة (13)
يُنفذ هذا القانون من تاريخ صدوره، ويُنشر في الجريدة الرسمية.

We, Khalifa bin Zayed Al Nahyan, Ruler of Abu Dhabi.
Having reviewed Law No. (1) of 1974 regarding the Reorganization of the Governmental Apparatus in the Emirate of Abu Dhabi, and its amendments.
- And Law No. (2) of 1971 concerning the National Consultative Council, and its amendments.
- And Law No. (2) of 2000 concerning Civil Pensions and Gratuities for the Emirate of Abu Dhabi, and its amendments.
- And Law No. (9) of 2018 on the Establishment of the Department of Education and Knowledge.
- And Federal Law No. (1) of 1972 concerning the Competencies of Ministries and the Powers of Ministers, and its amendments.
- And Federal Decree-Law No. (1) of 2010 on the Establishment and Regulation of the National Qualifications Authority.
- And based on what was presented to the Council, and its approval thereof.
- We have issued the following Law:

In the application of the provisions of this Law, the following words and phrases shall have the meanings assigned to each of them, unless the context indicates otherwise:

Article (2)

Pursuant to the provisions of this Law, a university named "Mohamed bin Zayed University of Artificial Intelligence" shall be established, having an independent legal personality and full legal capacity to act, and shall be affiliated with the Council.
The Council may change the affiliation of the University to any entity it specifies.
Article (3)
The main headquarters of the University shall be in the city of Abu Dhabi, and by a decision of the Board of Trustees, after the approval of the Council, branches may be opened within or outside the Emirate.
Article (4)
The University aims to support the scientific research and development process, create knowledge, and transfer and use artificial intelligence, and it shall have the following competencies:
- Establishing a distinguished academic and research system in various fields of computer science and its applications in artificial intelligence.
- Building and developing academic, scientific, and research partnerships with scientific and academic institutions inside and outside the Emirate, and exchanging experiences to ensure sustainable scientific and academic development, through the conclusion of necessary agreements and memoranda of understanding.
- Preparing and financing research and reports related to artificial intelligence.
- Providing advice and consultations in the University's fields of work and specializations to any entity, including local or international entities.
- Issuing publications, including specialized research, studies, and papers.
- Holding and participating in local, regional, and international conferences, seminars, meetings, and workshops.
- Implementing strategies related to commercial activities and intellectual property arising from the University's research and its collaborations with others.
- Any other competencies assigned to it by the Council.
Article (5)
- The University shall have a Board of Trustees of no less than five members, including its chairman and vice-chairman, whose appointment shall be issued by a decision from the Council.
- The term of membership of the Board of Trustees is three years, renewable.
- The Board of Trustees shall issue its own internal regulations, which shall include its meeting procedures, the legal quorum for its meetings, voting on its decisions, and how to pass resolutions by circulation in cases of necessity.
Article (6)
* The Board of Trustees shall have the following competencies:
- Approving the general policy and strategic plans of the University in line with the policies of the Emirate and the State, and following up on their implementation.
- Approving the University's plans, specializations, and programs, and reviewing and evaluating their application annually.
- Approving the draft annual budget of the University and submitting it to the Council for approval.
- Approving the organizational structure of the University and submitting it for approval in accordance with the established systems.
- Forming permanent or temporary committees from among its members and others to undertake specific tasks or competencies determined by the Board of Trustees.
- Issuing the necessary rules and regulations for managing the various activities and operations of the University.
- Issuing the University's internal regulations, including financial, administrative, and human resources regulations, after the approval of the Council.
- Approving admission policies, systems of study, training, examinations, and graduation requirements.
- Awarding academic degrees and certificates in accordance with the regulations and instructions it issues in this regard.
- Approving memoranda of understanding, agreements, and academic, scientific, and research partnerships concluded by the University inside or outside the Emirate, within the limits of the University's approved budget and in accordance with applicable legislation.
- Approving scientific research policies and the associated commercial strategies and activities of the University.
- Establishing endowment funds to achieve the University's goals and purposes in coordination with the relevant authorities.
- Establishing or contributing to companies related to the University's competencies.
- Approving the ownership, leasing, and renting of real estate for the operations of the University, its branches, its companies, and its scientific research centers.
- Approving university fees and financial rewards for students after the approval of the Council.
- Reviewing periodic reports on the University's performance.
- Borrowing in accordance with applicable legislation.
- Appointing consultants and experts and determining their fees.
- Any other competencies or tasks assigned by the Council.
* The Board of Trustees may delegate some of its competencies to the President, provided that the delegation is in writing.
Article (7)
The University shall have a President whose appointment is issued by a decision of the Council based on the recommendation of the Board of Trustees. He shall manage the daily work of the University and shall have the following competencies:
- Managing the University's scientific, financial, and administrative affairs in accordance with the provisions of this Law and the regulations and decisions issued by the Board of Trustees.
- Issuing the necessary decisions to ensure the proper functioning of the University in accordance with applicable legislation.
- Proposing draft internal regulations for the University and submitting them to the Board of Trustees.
- Preparing the organizational structure of the University and submitting it to the Board of Trustees.
- Preparing the draft annual budget of the University and submitting it to the Board of Trustees.
- Preparing academic and administrative programs and plans that contribute to achieving the University's goals, submitting them to the Board of Trustees, and following up on their implementation.
- Appointing and terminating the services of University employees in accordance with the University's internal regulations.
- Representing the University before the judiciary and others.
- Preparing periodic reports on the University's performance and submitting them to the Board of Trustees.
- Any other tasks assigned by the Board of Trustees.
* The President may delegate some of his competencies to any of the University's employees, provided that the delegation is in writing.
Article (8)
The financial resources of the University shall consist of the following:
- The annual appropriations allocated to it by the Government of Abu Dhabi.
- University fees and any other fees collected by the University in return for the services it provides.
- The return on investment of its movable and immovable funds.
- Donations, subsidies, grants, and any other revenues that are consistent with the University's objectives and approved by the Board of Trustees.
- Financial support provided by the public sector or by private sector companies and institutions, individuals, and various scientific research financing institutions, which is allocated to finance specific research or activities and is spent according to its designated purposes, outside the University's approved budget.
- Any other revenues approved by the Council.
Article (9)
The fiscal year of the University shall begin on the first of January and end on the last of December of each year, with the exception of the first fiscal year, which shall begin from the date this Law comes into force and end on the last of December of the following year.
Article (10)
The University shall have one or more external auditors from among the accredited auditors to audit the University's accounts and financial statements. Their appointment and the determination of their fees shall be issued by a decision of the Board of Trustees in accordance with the applicable legislation in the Emirate.
Article (11)
* The University's employees shall be subject to the human resources systems and policies issued by the Board of Trustees.
* The Civil Pensions and Gratuities Law in force in the Emirate shall apply to its national employees.
Article (12)
Any text or provision that violates or contradicts the provisions of this Law is hereby repealed.
Article (13)
This Law shall be implemented from the date of its issuance and shall be published in the Official Gazette.

Note on amendment of terms:
The second paragraph of Article (1) of Law No. (10) of 2024 states: 'The phrases "the Executive Council" and "the Chairman of the Executive Council" shall be replaced by the word "the Council" wherever they appear in the aforementioned Law No. (25) of 2019 and the regulations, systems, and decisions issued in implementation thereof.'
